Welcome to Prescient Labs ("we," "us," or "our"). Prescient Labs is a process mining company dedicated to helping organisations optimise operations through data analysis and automation. These Terms and Conditions ("Terms") govern your access to and use of our website (prescientlabs.ai), services, products, and any related applications or tools (collectively, the "Services"). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, you must not use the Services.These Terms form a legally binding agreement between you and Prescient Labs. If you are using the Services on behalf of an organisation, you represent that you have the authority to bind that organisation to these Terms.
1. Description of Services
Our Services provide process mining solutions to analyse operational data, automate workflows, and deliver insights for efficiency gains, cost reductions, and proactive decision-making. Key features may include:
Data Analysis Tools: Uploading and processing anonymised workflow data to identify bottlenecks and optimisations.
Automation Features: Building and deploying custom automations to streamline operations and empower teams.
Insights and Reporting: Generating data-backed reports on process health, expense minimisation, and market adaptability.
Account-Based Access: Premium features for registered users, including demos, consultations, and integrations.
Support and Resources: Access to team expertise, such as business strategy, AI & machine learning, and product engineering guidance.
We may update or modify the Services at any time, with or without notice. Certain features may require payment or additional agreements.
2. Eligibility and Accounts
To use the Services, you must be at least 18 years old (or the age of majority in your jurisdiction) and capable of forming a binding contract. You agree to provide accurate, current, and complete information during registration and to update it as necessary.
Account Creation: If required, you must create an account with a valid email and secure password. You are responsible for maintaining confidentiality and for all activities under your account.
Unauthorised Access: You must not share your account credentials or allow unauthorised use. Notify us immediately of any breach at support@prescientlabs.ai.
Termination of Accounts: We reserve the right to suspend or terminate accounts for violations of these Terms.
3. Fees and Payment
Some Services are free, while others (e.g., premium process mining tools or advanced automations) may require payment. Fees are specified during signup or purchase and may include subscriptions, one-time charges, or usage-based pricing.
Payment Terms: All payments are non-refundable unless otherwise stated. You agree to pay using approved methods (e.g., credit card via third-party processors).
Taxes: You are responsible for all applicable taxes.
Changes: We may adjust fees with 30 days' notice via email or site posting. Continued use constitutes acceptance.
Late Payments: Overdue amounts accrue interest at 1.5% per month or the maximum allowed by law.
4. Intellectual Property
Our Rights: All content, software, designs, logos, and materials provided through the Services (including process mining algorithms, insights dashboards, and automation templates) are owned by us or our licensors and protected by copyright, trademark, and other laws. You receive a limited, non-exclusive, non-transferable licence to use the Services for your internal business purposes only.
Your Rights: We claim no ownership of your input data or outputs generated from our Services, but you grant us a worldwide, royalty-free licence to use, store, and process it as needed to provide the Services.
Restrictions: You must not copy, modify, distribute, reverse-engineer, or commercially exploit the Services without our written consent.
5. User Content and Data
Your Responsibilities: You retain ownership of data you upload or input (e.g., workflow logs for analysis). You represent that it does not infringe third-party rights and complies with applicable laws, including data protection regulations.
Our Use: We may use anonymised, aggregated data from your usage to improve Services, such as benchmarking efficiency metrics across users.
Data Retention: We retain your data as long as needed for the Services or legal purposes, per our Privacy Policy (incorporated herein by reference).
6. Prohibited Conduct
You agree not to:
Use the Services for illegal purposes or in violation of any laws.
Upload harmful content, such as viruses, malware, or data that could compromise security.
Interfere with the Services, including excessive automated queries or scraping.
Impersonate others or misrepresent your affiliation with us.
Overload or disrupt the Services, such as by unauthorised integrations.
Use outputs for competitive analysis against us without permission.
We may monitor usage to enforce compliance and take action, including termination, at our discretion.
7. Disclaimers and Limitations of Liability
As-Is Basis: The Services are provided "as is" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, or uninterrupted access. We do not guarantee results from process mining (e.g., specific cost savings or insights accuracy).
Limitation of Liability: To the fullest extent permitted by law, Prescient Labs, its affiliates, officers, and employees shall not be liable for indirect, incidental, consequential, special, or punitive damages (including lost profits or data) arising from your use of the Services, even if advised of the possibility. Our total liability shall not exceed the fees paid by you in the prior 12 months (or £100 if no fees paid).
Indemnification: You agree to indemnify and hold us harmless from claims arising from your use of the Services, violations of these Terms, or infringement of third-party rights.
8. Termination
By You: You may stop using the Services at any time and request account deletion.
By Us: We may suspend or terminate your access for violations, non-payment, or at our discretion with notice (or immediately if necessary for security/legal reasons).
Effects: Upon termination, your right to use the Services ends; we may retain data as required by law.
9. Governing Law and Dispute Resolution
These Terms are governed by the laws of England and Wales, without regard to conflict of laws principles. Any disputes shall be resolved exclusively in the courts of England. We encourage informal resolution first. For claims under £10,000, you may elect binding arbitration under the rules of the London Court of International Arbitration (or equivalent), waiving class actions.
10. Changes to These Terms
We may update these Terms to reflect changes in our Services or legal requirements. We'll notify you via email, site posting, or in-app notice for material changes. Continued use after notice constitutes acceptance. Review periodically.
11. Miscellaneous
Entire Agreement: These Terms, along with our Privacy Policy, constitute the full agreement between us.
Severability: If any provision is invalid, the remainder remains enforceable.
Waiver: No waiver of any breach is a waiver of subsequent breaches.
Force Majeure: We are not liable for delays due to events beyond our control (e.g., natural disasters, strikes).
